SpaceX has finalized its acquisition of Anysphere, the company behind the AI coding tool Cursor, in an all-stock transaction valued at $60 billion - the largest startup acquisition on record.
The deal was confirmed through a Form 8-K filed with the US Securities and Exchange Commission, which details the issuance of approximately 391 million SpaceX Class A shares. Under the agreement, Cursor's outstanding shares were converted into 389.3 million SpaceX shares, with additional restricted stock units and options assumed by the aerospace company, according to Investing.com (via Yahoo Finance).
Following the announcement, SpaceX shares (Nasdaq: SPCX) rose about 1.5 percent to $143.45.
Cursor will operate as a wholly owned subsidiary under the newly rebranded "SpaceXAI" division. The integration gives the Cursor team access to SpaceX's Colossus supercomputer, and the combined entity has already launched a beta version of "Grok Bot." Analysts expect the Cursor brand to eventually phase out in favor of the Grok moniker.
Cursor confirmed the completion on its blog on August 15, 2026. The deal grew out of an April agreement that gave SpaceX an option to buy Cursor for $60 billion; after SpaceX went public two months later, the purchase moved forward, Briefs.co reports. In its announcement, Cursor said joining SpaceX gives it "access to the largest fleet of GPUs in the world," adding that "SpaceX is building the computing capacity needed to scale intelligence far beyond what exists today."
The acquisition follows SpaceX's purchase of xAI earlier in 2026, part of a broader push by the company into artificial intelligence infrastructure.
Wall Street remains bullish on the transition: Morgan Stanley maintained a $300 base price target on SpaceX, projecting that the Cursor acquisition could drive up to $13 billion in additional SpaceX revenue by 2027.
